These Terms and Conditions ("Terms") govern your use of the Placed platform ("Service"), operated by [Company Name], a company registered in France ("Placed", "we", "us", "our"). By accessing or using Placed, you agree to be bound by these Terms.
Please read these Terms carefully before using our Service.
1. Service Description
Placed is a web application that helps users find and create personalized wall art for their spaces. The Service includes:
- Room analysis: You upload a photo of your room or wall. Our AI analyzes the setting, style, and lighting to recommend artwork.
- Art generation: Using artificial intelligence, we generate custom artwork tailored to your space.
- Preview: You can preview how generated artwork looks on your wall.
- Print ordering: You can order physical prints of your generated artwork, fulfilled through our print-on-demand partner Gelato.
2. Account and Eligibility
2.1 Age Requirement
You must be at least 16 years old to create an account and use the Service. By registering, you represent that you meet this age requirement.
2.2 Account Information
You agree to provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.3 Account Security
You must notify us immediately at [contact@placed.art] if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
3. AI-Generated Content
3.1 Ownership of Generated Artwork
You own the artwork generated through the Service based on your inputs and preferences. You may use, download, print, and display your generated artwork for personal and commercial purposes.
3.2 Platform License
By using the Service, you grant Placed a non-exclusive, worldwide license to use your generated artwork solely for the purposes of fulfilling your orders, displaying previews within your account, and operating the Service.
3.3 No Quality Guarantee
AI-generated artwork is produced by automated systems. We do not guarantee that generated artwork will meet specific aesthetic expectations, be free from artifacts, or be suitable for any particular purpose. Results may vary based on input quality, prompts, and the inherent nature of AI generation.
3.4 AI Limitations
You acknowledge that AI models may produce unexpected or imperfect results. Placed is not responsible for the subjective quality, accuracy, or suitability of AI-generated content.
4. User Content
4.1 Your Room Photos
You retain all rights to the photos you upload to the Service. By uploading a photo, you represent and warrant that:
- You own or have the necessary rights and permissions to use the photo.
- The photo does not violate any third party's rights, including privacy or intellectual property rights.
- You consent to the photo being processed by our AI systems for the purpose of room analysis and art generation.
4.2 Processing of User Content
We process your uploaded photos solely for the purpose of providing the Service (room analysis, art recommendations, and artwork preview). We do not sell, license, or share your photos with third parties for purposes unrelated to the Service. See our Privacy Policy for details on data handling.
4.3 Content Removal
You may delete your projects and associated photos at any time through your account. Upon deletion, we will remove the content from our active systems, subject to backup retention schedules and any legal obligations.
5. Orders and Payments
5.1 Pricing
All prices are displayed in EUR and include applicable VAT where required. Prices may vary depending on the product type, size, and shipping destination. The final price is confirmed at checkout before payment.
5.2 Payment Processing
Payments are processed securely through Stripe. We do not store your full payment card details on our servers. By placing an order, you agree to Stripe's terms of service.
5.3 Order Confirmation
An order is confirmed and a binding contract is formed when you receive an order confirmation email from us. Until that point, placing an order constitutes an offer to purchase.
5.4 Order Cancellation
Once an order has been sent to production, it cannot be cancelled. If your order has not yet entered production, please contact us promptly at [contact@placed.art] and we will make reasonable efforts to cancel it.
6. Shipping and Fulfillment
6.1 Fulfillment Partner
Physical prints are produced and shipped by our fulfillment partner, Gelato. Production and shipping times are estimates and may vary depending on the product, destination, and external factors.
6.2 Estimated Delivery
Typical delivery times are 5-10 business days within the EU and 7-14 business days internationally, from the date of order confirmation. These are estimates only and do not constitute guaranteed delivery dates.
6.3 Risk of Loss
Risk of loss or damage to products passes to you upon delivery. If a shipment is lost or damaged in transit, please contact us within 14 days of the expected delivery date.
6.4 Shipping Addresses
You are responsible for providing an accurate and complete shipping address. We are not liable for orders delivered to incorrect addresses provided by you.
7. Right of Withdrawal
7.1 EU Right of Withdrawal
Under EU consumer protection law, you have the right to withdraw from a purchase within 14 days of receiving the goods, without giving any reason.
7.2 Exception for Custom Goods
Please note that under Article L221-28 of the French Consumer Code and Article 16(c) of the EU Consumer Rights Directive, the right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalized. As each art print is custom-generated based on your individual inputs and produced on demand, art prints ordered through Placed are considered personalized goods and are exempt from the right of withdrawal.
7.3 Acknowledgment
By placing an order for a custom art print, you acknowledge and agree that the right of withdrawal does not apply to your order due to its personalized nature.
8. Refunds and Defective Products
8.1 Defective or Damaged Products
If you receive a product that is defective, damaged during shipping, or materially different from what was ordered, please contact us at [contact@placed.art] within 14 days of delivery. We will arrange a replacement at no additional cost.
8.2 Proof of Defect
We may ask you to provide photos of the defective or damaged product to process your claim.
8.3 Non-Defective Returns
Because art prints are custom-made and personalized (see Section 7.2), we do not accept returns for reasons of personal preference, change of mind, or dissatisfaction with AI-generated artwork.
9. Prohibited Use
You agree not to use the Service to:
- Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Infringe on the intellectual property rights of any third party.
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
- Use automated tools (bots, scrapers) to access the Service without our prior written consent.
- Abuse the AI generation system by submitting content designed to circumvent safety filters.
- Interfere with or disrupt the Service or its underlying infrastructure.
- Use the Service for any unlawful purpose under applicable French, EU, or international law.
We reserve the right to suspend or terminate your account if you violate these prohibitions.
10. Intellectual Property
10.1 Platform Intellectual Property
The Placed platform, including its design, code, AI models, branding, logos, and all associated intellectual property, is owned by Placed or its licensors. Nothing in these Terms grants you any rights to use our trademarks, logos, or branding.
10.2 User Content
As stated in Sections 3 and 4, you retain ownership of your uploaded content and generated artwork, subject to the limited license granted to us for operating the Service.
11. Limitation of Liability
11.1 Service Availability
The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
11.2 AI Output
We are not liable for any decisions you make based on AI-generated analysis or recommendations. The AI analysis of your room and art suggestions are provided for informational and creative purposes only.
11.3 Limitation
To the maximum extent permitted by applicable law, Placed's total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
11.4 Exclusions
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot be excluded or limited under French or EU law.
12. Modifications to the Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
13.2 Jurisdiction
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.
13.3 Consumer Protections
If you are a consumer residing in the EU, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence. You may also bring proceedings in the courts of your country of residence.
13.4 Online Dispute Resolution
In accordance with EU Regulation 524/2013, you may submit complaints through the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
